1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of ZeusFit.ai (“Zeus,” “the platform,” “our services”), operated by C Blake Brand Advisory LTD (“we,” “us,” or “our”), registered in the United Arab Emirates. By creating an account, accessing the platform, or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Definitions

• “Customer” refers to the gym owner, operator, or authorised representative who creates an account and subscribes to Zeus.
• “Lead” refers to a prospective gym member whose contact information is processed by Zeus on behalf of the Customer.
• “Platform” refers to the ZeusFit.ai website, dashboard, APIs, integrations, and all related tools and services.
• “AI Agent” refers to the automated voice and messaging systems that contact, qualify, and book leads on behalf of the Customer.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your business. By using Zeus, you represent that you meet these requirements.

4. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at legal@zeusfit.ai if you suspect unauthorised access to your account.

5. Description of Services

Zeus provides AI-powered lead conversion services for gyms and fitness businesses, including:

• AI voice calls to inbound leads
• Direct messaging automation across Instagram, Facebook, WhatsApp, and other supported channels
• Lead qualification based on Customer-configured criteria
• Automated appointment booking into the Customer's calendar
• Data sync to the Customer's CRM and booking systems
• A dashboard for call recordings, transcripts, lead management, and analytics

Zeus uses artificial intelligence to conduct conversations with leads. Zeus identifies itself as AI at the start of every voice call. We do not impersonate humans.

6. Customer Responsibilities

As a Customer, you agree to:

• Provide accurate business information and keep it up to date
• Ensure you have lawful grounds to contact leads whose data is processed through Zeus (e.g. the lead submitted an enquiry form, responded to an ad, or otherwise opted in to contact)
• Comply with all applicable laws regarding marketing communications, telemarketing, data protection, and consumer consent in every jurisdiction where your leads are located
• Not use Zeus to contact individuals who have not consented to receive communications
• Not use Zeus for any unlawful, fraudulent, or abusive purpose
• Not attempt to reverse-engineer, copy, or replicate any part of the Zeus platform, AI systems, or technology

You are solely responsible for the lead data you provide to Zeus and for ensuring your use of the platform complies with local regulations.

7. AI and Communication Consent

By using Zeus, you acknowledge and agree that:

• Zeus will make automated AI voice calls and send automated messages to leads on your behalf
• You are responsible for ensuring that leads have provided adequate consent to receive automated communications, as required by the laws of their jurisdiction
• Zeus identifies itself as AI. Customers must not instruct Zeus to misrepresent itself as human
• Call recordings and transcripts are generated automatically and stored on the platform

8. Pricing and Payment

• Zeus operates on a monthly subscription model. Current pricing is listed at zeusfit.ai/packages
• No setup fees. No long-term contracts. Billing is monthly.
• Payment is due at the start of each billing cycle
• If payment fails, we may suspend access to the platform until payment is resolved
• Overage charges apply if lead volume exceeds the tier cap, as specified in the pricing plan
• We reserve the right to change pricing with 30 days written notice to existing Customers
• All fees are quoted in US Dollars (USD) unless otherwise stated

9. Cancellation and Refunds

• You may cancel your subscription at any time through the platform dashboard or by contacting us at legal@zeusfit.ai
• Cancellation takes effect at the end of the current billing cycle. You retain access until that date.
• We do not provide refunds for partial billing periods
• Upon cancellation, your data will be retained for 30 days and then deleted unless you request earlier deletion or export

10. Data and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy.

Key points:

• Zeus acts as a data processor on behalf of the Customer for lead data
• The Customer is the data controller for their lead data
• We do not sell personal data to third parties
• Lead data, call recordings, and transcripts are accessible to the Customer through the platform
• We implement appropriate technical and organisational security measures

11. Integrations

Zeus integrates with third-party CRMs, booking systems, and marketing platforms (e.g. Mindbody, HubSpot, Glofox, PushPress, Vagaro, GoHighLevel, and others via Zapier).

• We are not responsible for the availability, accuracy, or functionality of third-party services
• Your use of third-party integrations is subject to those providers' own terms and conditions
• We do not guarantee uninterrupted sync between Zeus and third-party platforms

12. Service Availability

• We aim to provide a reliable and available service but do not guarantee 100% uptime
• Scheduled maintenance will be communicated in advance where possible
• We are not liable for interruptions caused by third-party service providers, internet outages, or events beyond our reasonable control

13. Intellectual Property

• All rights, title, and interest in the Zeus platform, including its software, AI models, design, branding, and content, are owned by C Blake Brand Advisory LTD
• Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for your business during the subscription period
• You may not copy, modify, distribute, sell, or create derivative works from any part of the Zeus platform without our written consent
• You retain ownership of your business data and lead data. We claim no ownership over Customer data.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

• Zeus is provided “as is” and “as available” without warranties of any kind, whether express or implied
• We do not warrant that the platform will be error-free, uninterrupted, or free from harmful components
• We do not guarantee specific results from using Zeus, including lead conversion rates, booking numbers, or revenue outcomes
• Our total liability for any claim arising from or related to these Terms or your use of Zeus shall not exceed the total fees paid by you in the 3 months immediately preceding the claim
• We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities

15. Indemnification

You agree to indemnify and hold harmless C Blake Brand Advisory LTD, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of Zeus
• Your breach of these Terms
• Your violation of any applicable law or regulation
• Your lead data or the manner in which you collect and process lead information
• Any dispute between you and a lead or end consumer

16. Acceptable Use

You agree not to:

• Use Zeus for any unlawful purpose
• Transmit any material that is abusive, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorised access to the platform or any related systems
• Interfere with or disrupt the platform's operation
• Use Zeus to send unsolicited communications (spam)
• Use the platform to process data unrelated to gym or fitness business operations
• Resell, sublicence, or provide access to Zeus to third parties without our written consent

We reserve the right to suspend or terminate accounts that violate these Terms.

17. Termination

We may suspend or terminate your access to Zeus:

• If you breach any provision of these Terms
• If payment is overdue by more than 14 days
• If we reasonably believe your use of Zeus is unlawful or harmful
• If required to do so by law

Upon termination, your licence to use the platform ends immediately. We will retain your data for 30 days to allow export, after which it will be deleted.

18. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Material changes will be communicated to Customers via email at least 30 days before taking effect.

Continued use of Zeus after changes take effect constitutes acceptance of the updated Terms.

19. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and C Blake Brand Advisory LTD regarding your use of ZeusFit.ai and supersede all prior agreements or understandings.
